TERMS OF ENGAGEMENT (TEMPORARY CANDIDATES ONLY)

If you are seeking temporary work, we are legally required to (i) agree the basis on which you contract with us before we can provide work-finding services to you and (ii) provide you with certain information about our preferred umbrella and intermediary companies. However agreeing a contract with us does not obligate you to work through Kenton Black and you are free to change your decision before commencing an assignment. Please indicate the basis on which you wish to engage with Kenton Black and then complete the relevant section below:

OPTION A - UMBRELLA COMPANY

Our preferred umbrella companies are listed on the final page of this agreement. We encourage you to select one of our preferred umbrella companies as we are satisfied that they are compliant and provide a high level of customer service. We will consider other umbrella companies provided that they

meet a minimum level of compliance and agree to our contractual terms. If we are unable to accept your preferred umbrella company, we will ask you to select an alternative provider.

I wish to be engaged as an Umbrella company when carrying out an assignment with Kenton Black. During an assignment, I understand that my contract for services will be the with the Umbrella company and not with Kenton Black.

OPTION B - CIS THROUGH INTERMEDIARY

Our approved CIS intermediary companies are listed on the final page of this agreement. Please note that you cannot be engaged as a CIS Subcontractor unless the client has confirmed that you will not be subject to supervision, direction or control as to the manner in which you perform the assignment. If the client does not provide this confirmation, you will be required to choose an alternative form of contracting at the relevant time.

I wish to be engaged as a CIS subcontractor when carrying out an assignment with Kenton Black. During an assignment, I understand that my contract for services will be with the CIS intermediary company and not with Kenton Black.

OPTION C - PERSONAL SERVICES COMPANY

If you wish to engage with Kenton Black through a limited company of which you are a director, please provide the relevant information below.

Please also provide a copy of your company's certificate of incorporation, VAT certification, professional certificates, UTR (if applicable), and insurance documents when returning this form to us.

On behalf of the above Limited Company, we agree to the attached Contract for Services (Contractors). We undertake to update Kenton Black immediately if there is any change to our tax or company status. We confirm that all monies paid to our Representatives in respect of the Contractor Services shall be treated as employment income and subject to deductions for tax and National Insurance.

Conduct Regulations Opt Out Notice:

Under the Conduct of Employment Agencies and Employment Businesses Regulations 2003, all work-seekers are given automatic protection, guaranteeing them payment for their services even if the client is unwilling to pay the recruitment business for the time worked. This protection is often considered to be unhelpful where a limited company intends to operate outside of IR35. This is because the automatic protection removes much of the commercial risk associated with limited company contracting and if the limited company does not take commercial risk, they may be more likely to be deemed inside of IR35.If you intend to operate outside of IR35, you may wish to Opt Out of the Conduct Regulations. Either party may withdraw the Opt Out at any time and such withdrawal shall be effective from the end of any Assignment which is in progress at that time. To validly Opt Out, please ensure that both sections are signed, even if the same person signs both sections:

Whilst we will consider alternative suppliers, we will not engage any intermediary company which is based offshore, does not pass our due-diligence checks or which is unwilling to agree our standard contract for intermediary companies. If we are unwilling to engage your preferred intermediary company, we will ask you to (i) choose an alternative provider from this Approved Supplier List or (ii) engage with us on a different basis. Please note that the rate which we pay to an intermediary company will be more than the gross pay rate which you receive from the intermediary company. The rate which we pay is inclusive of any relevant statutory costs such as Employers National Insurance, the Apprenticeship Levy, pension contributions and your statutory paid holiday entitlement. These costs are deducted by the intermediary company (where applicable) together with their weekly fee, before calculating your gross pay. This document set out the information which we are required to give under Regulation 13 of the Conduct of Employment Agencies and Employment Businesses Regulations 2003. In accordance with the Regulations: The provision of services to you by an intermediary company is not a work-finding service for which the Employment Agencies Act 1973 prohibits the charging of a fee; Any fees payable by you would be paid directly to the relevant intermediary company by being automatically deducted from any monies received in respect of your temporary assignment; and Unless otherwise agreed by you directly with the relevant intermediary company, no refunds or rebates are payable to you.

ELIGIBILITY TO WORK

We are legally required to ensure that our temporary workers and candidates are eligible to work in the United Kingdom. We therefore require you to provide evidence of such eligibility together with proof of your identity. Acceptable documents proving eligibility to work include a British/EU/Swiss passport, a passport from another jurisdiction together with a residence permit or working visa, or proof of National Insurance Number with a UK long-form birth certificate. Please explain the basis on which you are permitted to work in the UK. e.g. UK/EU citizen, working visa, residence permit, indefinite leave to remain etc.

I consent to Kenton Black representing me and seeking suitable employment or engagement in the position which I have indicated in Section 3 of this form or one which is similar. I understand that Kenton Black will be acting as an Employment Business when providing temporary work-finding services to me and as an Employment Agency when providing permanent work-finding services to me. I understand that Kenton Black has no obligation to find me any employment or engagement and I an under no obligation to accept any offer of employment or engagement which is made. I acknowledge and accept the attached Work-Finding Services Agreement. I have completed this Registration Form to the best of my knowledge and have not omitted any relevant details. I will notify Kenton Black of any changes to my details or circumstances at the earliest opportunity. I understand that I may incur criminal or civil liability for making any false or misleading statements and, if applicable, any recruitment process or assignment which is in progress at the relevant time may be terminated without notice.
